Terms and conditions
Read these terms before using the ParqueSoft Crea S.A.S. site (NIT 901.260.122-3). By browsing the site or requesting a quote, you accept these terms and our privacy policy. If you act on behalf of a company, you state that you can bind it. If you do not agree, do not use the site. Our services are also governed by the contract or proposal we sign with you.
We may update these terms when our services or the law change. We will post the current version here. If you keep using the site after a change, you accept it. Effective date: [POR CONFIRMAR].
1. Use of the site
You may view the site and download or print its content for your personal or internal information, for non-commercial purposes and keeping all ownership notices. We ask you to use it in good faith. You may not try to access systems or data without authorization, introduce viruses or malicious code, overload the site with automated processes, extract its content in bulk, or use it for illegal activities or to impersonate another person. The forms are for contacting us and requesting quotes. The information you send us must be truthful and yours, or from someone who authorized you to provide it. We may suspend access to the site, without prior notice, if we detect use that breaches these terms.
The site, its texts, designs, images, logos, the names of our platforms (Agenda Salud.co, Centrik.work, CRM Opción Digital and Orquestium) and the code it is built with belong to ParqueSoft Crea S.A.S. or to those who licensed them to us. They are protected by Colombian and international intellectual property laws, such as Law 23 of 1982 and Andean Decisions 351 of 1993 and 486 of 2000. You may not copy, modify, translate, distribute, resell or reverse engineer this content without our prior written authorization. You may not use our trademarks or logos without permission either. Third-party trademarks belong to their owners.
The content of the site may change without notice. If you breach these terms, your permission to use the site ends and you must delete any copies you made of its content.
2. Scope of services, support and maintenance
The site presents our services: custom software, artificial intelligence, our own platforms, innovation and technology development, and implementation and support. The information on the site is general and is not a binding offer. Every project is different: when you request a quote, we send you a tailored proposal with scope, deliverables, stages and financial terms. Only the accepted proposal or the contract we sign binds the parties. Anything not in that document is outside the scope, and any change of scope is agreed in writing before it is carried out.
Support and maintenance are provided as agreed in the contract or proposal: channels, hours, scope and cost. If we have not agreed on them, they are not included. Improvements and new features are quoted separately.
For the project to move forward, we need your cooperation. You must give us truthful and complete information, access and decisions on time, appoint a person who decides for you, and review and approve deliverables within the agreed deadlines. You are responsible for having the right to use the data, content and materials you give us, and for the third-party licenses your project needs. If your deliveries or approvals are delayed, the schedule moves by the same amount.
Some projects use third-party services, such as cloud (Azure or AWS), language models, messaging or payment gateways. Those services are governed by each provider's terms, and we tell you which ones we use before integrating them. We do not control those services and are not liable for their failures or changes. If the site mentions other entities or organizations, that mention does not mean they endorse these terms or our services.
3. Deliverables
The contract prevails. There are two models for custom software. Assignment: if the contract provides for it, and once the agreed amount is paid, we assign to you in writing the economic rights to the software developed for you. License: if the contract does not provide for assignment, we grant you a license of use with the scope, term and territory stated there. If the contract says nothing, the license of use applies. In both cases we keep the rights to our tools, libraries, components, methodologies and prior or generic know-how, which we may reuse in other projects. Open-source or third-party components are governed by their own license. The author's moral rights are respected under Colombian law.
4. Platforms
Agenda Salud.co, Centrik.work, CRM Opción Digital and Orquestium are ParqueSoft Crea platforms. They are not sold: we give you a non-exclusive, non-transferable license of use, for the term and for the organization stated in the contract. You may not copy them, sublicense them or reverse engineer them. The data you upload remains yours.
5. Confidentiality
Each party keeps confidential the confidential information it receives from the other: business data, access credentials, code, documents and proposals. It uses it only to carry out the project and shares it only with those who need it and are bound to protect it. This obligation lasts while the contract is in effect and [POR CONFIRMAR: plazo posterior] after it ends. It does not cover public information, information already known without restriction, or information that an authority orders to be disclosed. If you need it, we sign a confidentiality agreement (NDA) before starting.
6. Customer data in AI
In AI projects we use your data only to build, test and operate your solution. We do not use it to train our own models or those of other customers, unless you authorize it in writing. If we use third-party models, we tell you before sending them data. You must have the authorization of the data subjects (Law 1581 of 2012).
7. Limitation of liability
Site. The site and its content are offered as general information, as is. We try to keep them correct and current, but we do not promise that they are free of errors, always available or fit for a particular purpose. The internet is a medium we do not control: we are not liable for delays, interruptions or failures outside our control. Services. We are liable for fulfilling what is agreed in the contract or proposal. We do not promise business results, such as sales or revenue, which depend on factors outside our control. Nor are we liable for indirect damages, lost profits, data loss caused by third parties or by your misuse, or failures of third-party services. Artificial intelligence can generate inaccurate answers: that is why it is designed with human review, and you decide how to use its results. Cap. Unless the contract says otherwise, our total liability to you is limited to the amount actually paid for the service that gave rise to the claim [POR CONFIRMAR: tope de responsabilidad]. Exceptions. These limitations do not apply to what the law does not allow to be limited, such as willful misconduct or gross negligence. Your liability. You are responsible for how you use the site and for what you send us, and you are liable for any damage our company suffers because you breach these terms.
8. Governing law
These terms are governed by the laws of Colombia. Before going to court, the parties seek to resolve their differences in good faith through direct conciliation. If that fails, the courts of Bogotá D.C. have jurisdiction, unless the contract provides otherwise. [POR CONFIRMAR: revisión de abogado antes de publicar]
